Terms of Service
Last updated
These Terms of Service (the “Terms”) are an agreement between you and NEXALGO LLC, a New Mexico limited liability company (“NexAlgo”, “we”, “us” or “our”), about the Service. “The Service” means nexalgo.com, your NexAlgo account, our indicators on OpenMarket (Nexalgo SMC, Nexalgo SM Oscillator and Nexalgo Ignition), your paid subscription to them (a “Subscription”), the guides, documentation, strategy playbooks, weekly chart analysis, Discord community and other content we make available to members (“member content”), and our support. Please read these Terms carefully, in particular the sections on OpenMarket (section 5), prices and changes (sections 7 and 19), cancellation and refunds (section 9), no financial advice (section 14), limitation of liability (section 16) and governing law (section 20). If you were a customer before these Terms took effect, section 11 explains how they apply to you.
1. Who we are and accepting these Terms
The Service is operated by NEXALGO LLC, a limited liability company organized under the laws of New Mexico, USA. You can reach us at support@nexalgo.com.
By creating an account, starting a Subscription or using the Service, you agree to these Terms. At checkout we ask you to confirm this by ticking a box, and by buying a Subscription you also confirm that you have read our Risk Disclosure and understand that the Service is for educational purposes and is not financial advice (section 14). If you do not agree, please do not use the Service.
Our Risk Disclosure explains the risks of trading and how to read our content, and it forms part of these Terms. Our Privacy Policy explains how we handle personal data.
2. Eligibility
You must be at least 18 years old, and old enough to enter into a binding contract where you live, to use the Service. The Service is not intended for anyone under 18. If we learn that a user is under 18, we may close the account.
You may not use the Service if the laws that apply to you prohibit it, including if you are located in a country subject to comprehensive US sanctions or are named on a US government restricted party list.
You are responsible for making sure that trading, and the use of tools like ours, is lawful where you live.
3. The Service and plans
A Subscription gives you access to NexAlgo’s invite-only indicators on OpenMarket and to member content. At the date of these Terms, we offer two plans, which include:
- Essentials: Nexalgo SMC and Nexalgo SM Oscillator, alerts through OpenMarket, step-by-step guides and documentation for both indicators, access to the NexAlgo Discord community, and updates to the included indicators.
- Complete: everything in Essentials, plus Nexalgo Ignition and its guide, strategy playbooks, the weekly chart analysis in the Complete area of our Discord, Ignition entry and exit alerts through OpenMarket, and a priority support channel on Discord.
The current contents and prices of each plan are shown on our pricing page and at checkout. We may change our plans, what they include and their prices at any time; sections 7 and 19 explain how this affects an existing Subscription. Guides and documentation are written text with animated charts; strategy playbooks may also include videos. We aim to publish the weekly chart analysis every week; a missed week, for example around holidays, does not entitle you to a refund or credit. The Service does not include a backtesting tool.
The indicators run on OpenMarket and display analysis on your charts. They do not place trades, connect to a broker or manage money for you. Alerts and webhook alerts are OpenMarket features that our indicators can trigger. Which alerts you can set, how many, and how they are delivered depends on your own OpenMarket plan and settings. OpenMarket’s free plan has limits on indicator slots and alerts. Optional upgrades and any additional market-data services are separate from NexAlgo. Supported markets, timeframes and alert delivery depend on OpenMarket’s current capabilities and settings. If you connect alerts or webhooks to a broker, bot or any other automation, you do so at your own risk and you are responsible for the result.
4. Accounts and security
You sign in with a one-time code that we send to your email address. You can also turn on two-factor authentication with an authenticator app, which we recommend.
You agree to give accurate information, keep your email account and sign-in methods secure, and keep your details up to date. One account is for one person. You are responsible for everything that happens under your account. If you think someone has accessed your account without permission, tell us right away at support@nexalgo.com.
We may ask you to confirm that you control the account’s email address, OpenMarket account or Discord account before we make changes or answer support requests.
5. OpenMarket and TradingView
Not affiliated. OpenMarket is a separate platform. NexAlgo is independent and is not affiliated with, endorsed by or sponsored by OpenMarket.
Your OpenMarket account. To get started with the indicators you need your own free OpenMarket account. Optional paid OpenMarket plans add capacity and features; any upgrade is bought separately from OpenMarket. Your use of OpenMarket is governed by its own terms and policies. We are not a party to your agreement with OpenMarket.
Account connection and access. You select the OpenMarket account that receives your indicators by entering and confirming its username. Check the spelling before confirming. We store the stable account identity returned by OpenMarket to manage the indicators included in your plan. This selection does not verify ownership of the OpenMarket account. Access has an expiry date that follows your entitlement. If access is missing or you need to change the connected account, contact support@nexalgo.com. Access removal may take a short time to reach the platform.
Changes made by OpenMarket. OpenMarket controls its platform. At any time it may change its terms, fees, features, script rules or availability, introduce or change fees for vendors of invite-only scripts, or suspend or remove accounts or scripts, including your account, our own vendor account and our scripts. These decisions are outside our control.
What we may do in response. To keep the Service running, we may:
- change how access is delivered, including the method, platform or process we use; a new method may require you to accept an invitation, take other steps or use an OpenMarket plan that supports it;
- pause, limit or cap new Subscriptions;
- run a waiting list for new customers; joining it does not guarantee a place, a start date or a particular price;
- change plans or prices as set out in section 7, including to reflect fees that OpenMarket or other providers charge us.
We will tell you in advance about changes that affect your access where we reasonably can. If access through OpenMarket becomes permanently impossible and we cannot offer a reasonable alternative, we may end the Service. In that case we refund the unused part of any prepaid period where the law requires it.
No liability for OpenMarket. We are not responsible for OpenMarket outages, errors, delays, data, fees, policy changes or decisions, including any action OpenMarket takes on your account. Interruptions caused by OpenMarket do not entitle you to a refund or credit, except where the law requires it.
TradingView. On request, we can also give you access to the indicators on TradingView. TradingView is a separate platform too. NexAlgo is independent and is not affiliated with, endorsed by or sponsored by TradingView. You need your own TradingView account, and your use of TradingView is governed by its own terms and policies. Our support grants and removes access for the TradingView username you give us in a support ticket. What this section says about changes made by OpenMarket, what we may do in response and our liability applies to TradingView in the same way.
6. Discord and community rules
Both plans include access to the NexAlgo Discord community. You join by connecting your Discord account through Discord login. Discord is a separate service with its own terms, which you must follow. We are not affiliated with Discord.
Your Discord roles follow your plan. They change when you change plans and end when your Subscription ends.
In the community, you agree to follow these rules:
- Treat others with respect: no harassment, hate speech, threats or personal attacks.
- No spam, advertising, affiliate or referral links, and no promotion of other products or groups.
- Do not offer or ask for paid signals, account management, investment services or money, and do not ask other members for personal data or login details.
- Do not share paid NexAlgo content, access or invite links outside the community.
- Do not post signals or alerts from the indicators in the Essentials channels.
- Do not impersonate NexAlgo staff or anyone else.
- Do not post anything unlawful, misleading or that infringes someone else’s rights.
Posts by members are their own views, not NexAlgo’s, and are not advice. We do not verify results that members share. Be careful with anyone who contacts you privately offering services or asking for money or login details.
At any time and at our sole discretion, we may remove content and mute or ban members from the server, temporarily or permanently. A mute or ban does not entitle you to a refund. If you break these rules, we may also cancel your Subscription under section 18. Support by email and, in Complete, in the priority support channel on Discord is provided with reasonable effort and without guaranteed response times. Support answers questions about how the Service and the indicators work; it does not review your trades or positions and does not tell you what to trade.
7. Subscriptions, billing, renewals and prices
Plans are billed in advance, monthly or yearly, in US dollars. Your bank or card issuer may charge currency conversion or foreign transaction fees; these are not charged by NexAlgo. The price, billing period and renewal terms are shown at checkout before you pay. There is no free trial. Section 8 covers offers and discounts, and section 11 covers Subscriptions that started under an earlier NexAlgo plan.
Confirmation. When you subscribe, and when you accept an offer that changes your Subscription, we confirm it by email, including the price, the billing period, how automatic renewal works and how to cancel.
Automatic renewal. Your Subscription renews automatically at the end of each billing period for the same period, at the price in effect at that time (see Price changes below), until you cancel. Before each yearly renewal, we or our payment provider send you a reminder by email. By subscribing, you authorize us to charge your payment method through Stripe at each renewal. You can cancel at any time in your account (section 9).
Payments. Payments are processed by Stripe. Your card details go directly to Stripe and never reach NexAlgo; we receive only limited information such as the card brand and last four digits. Stripe’s own terms and privacy policy apply to the payment.
Taxes. Where required, sales tax, VAT or similar taxes are calculated through Stripe Tax based on the location and details you provide, which must be accurate. Any tax is shown at checkout before you pay.
Failed payments. If a payment fails, Stripe retries it for up to two weeks. While it retries, we may keep or suspend your access. If the payment still fails after the last retry, your Subscription ends and your access is removed.
Changing plans. You can change your plan or billing period in your account. Before you confirm, we show you when the change takes effect and what you pay. When you move from Complete to Essentials, your access to Nexalgo Ignition and to Complete-only content and roles ends when the change takes effect.
Price changes. We may change our prices at any time. A new price applies to new purchases from the moment we publish it. For an existing Subscription, a new price applies from your first renewal that falls at least 30 days after we notify you by email. If you do not want to pay the new price, cancel before that renewal.
Billing disputes. If you believe a charge is wrong, please contact us first at support@nexalgo.com so we can look into it. If you open a chargeback or payment dispute, we may suspend your access while it is open.
8. Offers and discounts
We may offer you a discount, an upgrade or another change to your Subscription, for example right after a purchase or when you cancel. Each offer shows its terms before you accept it: what changes, the price, how long a discount lasts and what you pay afterwards. Unless the offer says otherwise, an offer applies once per customer, has no cash value, and the regular price applies from the first renewal after the offer period.
After a purchase. Right after you buy a plan, we may show you one upgrade offer, such as Complete after you buy Essentials, or yearly billing after you buy Complete with monthly billing. If you accept, your Subscription changes as the offer describes, and you authorize us to charge the price shown to the payment method you used for your purchase. If you decline, nothing changes.
When you cancel. When you cancel in your account, we may ask why and show you at most one offer, such as one free month credited to your next invoice. You do not have to answer or accept anything to cancel, and you can go straight on with your cancellation. A discount offered when you cancel is available once per customer.
Switching to yearly billing. If you accept a switch to yearly billing, the offer shows the yearly price, when the yearly period starts and any credit for your current period before you accept.
9. Cancellation and refunds
You can cancel your Subscription at any time in your account. If you cannot sign in, write to support@nexalgo.com from the email address on your account and we will cancel it for you. Cancellation stops future renewals. Your access continues until the end of the period you have already paid for. After that, your OpenMarket access expires, your Discord roles are removed and member content is no longer available to you.
Before you confirm a cancellation in your account, we may show you one offer (section 8). After you cancel, we confirm the cancellation by email, including the date your access ends.
No refunds. All payments are final and non-refundable, including for partly used periods, unused time or periods in which you did not use the Service, except where the law requires a refund. This does not affect the EU right of withdrawal in section 10 where it applies. If we grant a refund or credit in an individual case, we do so voluntarily, and it does not create a right to any future refund or credit.
10. Right of withdrawal for consumers in the EU and the UK
If you are a consumer living in the European Economic Area or the United Kingdom, the law may give you the right to withdraw from a contract made online within 14 days of the contract date, without giving a reason.
Because the Service starts right away, at checkout you expressly ask us to begin immediately, before the withdrawal period ends, and you acknowledge that you lose your right of withdrawal once we have started providing access. We confirm your request and acknowledgement by email.
Where your right of withdrawal still applies, you can exercise it by sending a clear statement to support@nexalgo.com. We refund your payment within 14 days of receiving your withdrawal, using the original payment method.
Nothing in these Terms limits the mandatory rights you have as a consumer under the law of the country where you live.
11. Earlier customers, lifetime and complimentary access
Earlier customers. If you were a NexAlgo customer before these Terms took effect, we move your access to our current platform and tell you by email which plan applies to you. If you have a running Subscription, you keep its price and billing period, including quarterly billing, until we change them under section 7. If it ends, any new Subscription is at the plans and prices offered at that time.
Paid lifetime access. If you paid once for lifetime access under an earlier offer, you keep access to the indicators of the plan we assign to you. “Lifetime” means for as long as NexAlgo offers the Service. It is not a promise of access for your lifetime or for any fixed period, and it does not entitle you to a refund if we stop offering the Service, except where the law requires one. Like all access, it has an expiry date on OpenMarket, which we renew automatically. These Terms, including section 18, apply to lifetime access as they do to a Subscription.
Earlier indicators. Existing customers receive access to the current indicators of their plan. Access to earlier NexAlgo indicators that we no longer offer then ends.
How we inform you. We inform existing customers about these Terms and the move to our new platform by email. These Terms apply to your access from the date stated in that email.
Complimentary access. We may give access free of charge, for example to team members, partners or winners of a giveaway. This includes access given free of charge under an earlier offer, even if it was described as lifetime access. Complimentary access follows the same rules as a Subscription, including these Terms and the Risk Disclosure. We may change or end it at any time. It is personal, cannot be transferred and gives no right to compensation or to continued access.
Giveaways. If we run a giveaway, its own official rules apply in addition to these Terms, and we publish them with the giveaway.
12. License and restrictions
While your Subscription is active and paid, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the indicators and member content included in your plan for your own trading and analysis. The license ends when your Subscription ends or is terminated.
You may not:
- share your account, sign-in, OpenMarket or TradingView access or member content with anyone, or let others use them; one Subscription covers one person, one OpenMarket account and, on request, one TradingView account;
- sell, resell, rent, sublicense or otherwise transfer access to the Service;
- copy, decompile, disassemble, reverse engineer or recreate the scripts, or try to extract or reconstruct their source code, logic or calculations, including by systematically recording their output;
- publish, share or sell guides, playbooks, videos, analysis or other member content outside the Service;
- get around access controls, security measures or limits, or use bots, scrapers or other automated means to access the website or member area;
- use the Service to build or train a competing product;
- remove or change our names, notices or branding;
- use the Service in breach of the law or of OpenMarket’s, TradingView’s or Discord’s terms.
Sharing signals. You may share the signals, alerts and levels the indicators show on your charts, for example as screenshots or messages, except in the Essentials channels of our Discord (section 6). If you share them, you do so on your own responsibility. Do not present them as advice or as posts from NexAlgo. NexAlgo is not responsible for what others do with them.
We may use reasonable technical measures to detect misuse such as account sharing, as described in our Privacy Policy. If you break these rules, we may suspend or end your access immediately and without a refund, and we keep all other rights and remedies available to us, including court orders to stop the misuse.
13. Intellectual property
The Service and everything in it, including the indicators and their code, names, logos, guides, documentation, playbooks, videos, weekly analysis, charts, website text and design, belong to NEXALGO LLC or its licensors and are protected by copyright, trademark, trade secret and other laws. Apart from the license in section 12, these Terms give you no rights in them.
Content you post in Discord or send to support stays yours. You give us a worldwide, non-exclusive, royalty-free license to host, store, display and use it as needed to run, moderate and support the Service.
If you send us ideas or feedback, we may use them freely and without any obligation to you.
OpenMarket, TradingView, Discord, Stripe and other third-party names belong to their owners and are used only to describe how the Service works.
If you believe content on the Service infringes your rights, contact us at support@nexalgo.com.
14. No financial advice, educational purposes only
Everything in the Service, including the indicators, signals, alerts, guides, documentation, playbooks, videos, weekly chart analysis, Discord content and support answers, is provided for educational and informational purposes only. It is not financial, investment, trading, tax or legal advice, and it is not a recommendation, offer or solicitation to buy or sell any security, commodity, currency, crypto asset or other instrument. It does not replace personal advice from a licensed financial adviser who knows your situation.
NexAlgo is not a broker, investment adviser or commodity trading advisor and is not registered as any of these. Nothing in the Service is tailored to your personal situation, and using the Service does not create an adviser, fiduciary or similar relationship between you and NexAlgo.
Trading carries a high risk of loss, and you alone are responsible for your trading decisions and their results. Backtests shown on our website are NexAlgo’s own in-house simulations, run before release; they are hypothetical and do not predict future results. Testimonials describe individual experiences and are not typical results.
Your confirmation. By creating an account, buying a Subscription or using the Service, you confirm that you have read and understood this section and our Risk Disclosure, which forms part of these Terms, that you use the Service for educational purposes and at your own risk, and that you will not rely on it as financial advice.
15. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or uninterrupted availability.
In particular, we do not warrant that:
- the indicators, signals, alerts or content are accurate, complete or free of errors;
- the Service will be available at all times or will work with every OpenMarket plan, browser or device;
- alerts will trigger or arrive on time;
- you will achieve any particular result, profit or performance;
- OpenMarket, Discord, Stripe or any other third-party service will stay available or keep working as it does today.
Chart and market data come from OpenMarket and its data providers. We do not control or verify them.
Some jurisdictions do not allow certain warranties to be excluded. There, these exclusions apply only as far as the law allows, and your statutory rights, including any legal guarantee of conformity for consumers, are not affected.
16. Limitation of liability
To the fullest extent permitted by law, NEXALGO LLC and its members, managers, employees, contractors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading or investment losses, lost revenue, lost data or loss of goodwill, however caused and on any legal theory, even if we were told such damages were possible.
Without limiting the above, we are not liable for losses arising from:
- your trading decisions or any reliance on the indicators, signals, alerts, analysis or other content;
- alerts or webhooks that do not trigger, trigger late, or are acted on by automation you set up;
- outages, changes, fees or decisions of OpenMarket, Discord, Stripe, brokers, exchanges, data providers or other third parties, including any interruption or limit of access, waiting list or change in how access is delivered that results from them;
- unauthorized access to your account resulting from your failure to keep your sign-in methods secure.
Our total liability for all claims relating to the Service is limited to the greater of the amount you paid NexAlgo for the Service in the 3 months before the event that gave rise to the claim and 40 US dollars.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under the law that applies, such as liability for fraud or intentional misconduct. If you are a consumer in the European Economic Area or the United Kingdom, the limitations in this section apply only as far as the law of your country allows.
These limits are an essential part of the agreement between us and are reflected in the price of the Service.
17. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold harmless NEXALGO LLC and its members, managers, employees and contractors from any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Service, your violation of any law or of the rights of others, content you post, or any redistribution of the Service or its output by you. We may take control of the defense of any such claim, and you agree to cooperate with us.
18. Suspension and termination
We may suspend or cancel your access, your Subscription or your account at any time and with immediate effect if:
- you breach these Terms, including the community rules in section 6 and the restrictions in section 12;
- we reasonably suspect fraud, abuse, account sharing or unauthorized use;
- a payment fails or you open a chargeback;
- your use creates risk or harm for NexAlgo, other members or third parties;
- we are required to act by law or by a court or authority;
- OpenMarket or Discord suspends your account or requires us to act.
If we end your Subscription because of your breach, you are not entitled to a refund. If we end it for any other reason, we refund the unused part of any prepaid period where the law requires it.
You can end this agreement at any time by canceling your Subscription. To delete your account, contact support@nexalgo.com.
When your access ends, the license ends, your OpenMarket and TradingView access and your Discord roles are removed, and you must stop using member content. Sections that by their nature should continue, including the restrictions in section 12, payment obligations already due under section 7, section 9 and sections 13 to 17 and 20 to 22, continue to apply.
19. Changes to the Service and to these Terms
We develop the Service continuously and may change it at any time. We may add, change or remove features, indicators, indicator settings, content or plan contents, update the scripts on OpenMarket, and change how the Service is delivered. Existing charts may keep the indicator version you added. You may need to update it in OpenMarket to use a new release. If a change materially reduces what your plan includes, we will tell you in advance where we reasonably can, and you may cancel before your next renewal. Where the law gives you further rights because of such a change, for example as a consumer in the European Economic Area, those rights apply.
We may change these Terms at any time. We publish the new version on this page with a new date. For material changes, we notify you by email or in your account at least 30 days before they apply to your existing Subscription. If you keep using the Service after a change applies to you, you accept it. If you do not agree, cancel before it applies. We keep a record of the version you accepted at checkout.
20. Governing law and disputes
These Terms, and any dispute arising from them or from the Service, are governed by the laws of the State of New Mexico, USA, without regard to its conflict of law rules.
Before starting any formal proceeding, please contact us at support@nexalgo.com and give us 30 days to try to resolve the matter informally.
Any dispute that is not resolved informally will be decided exclusively by the state or federal courts located in New Mexico, and you and we consent to their jurisdiction.
If you are a consumer living outside the USA, including in the European Economic Area or the United Kingdom, this section does not take away the protection of mandatory rules of the law of your country or any right you have to bring a claim in the courts where you live.
Consumer dispute resolution. We are not obliged to take part, and do not take part, in dispute resolution proceedings before a consumer arbitration board.
21. Notices
We may send you notices by email to the address on your account or by posting them in your account. Email notices count as received when sent, so please keep your email address up to date.
You agree to receive communications from us electronically, and that electronic notices, agreements and records meet any legal requirement for them to be in writing.
Send notices to us at support@nexalgo.com.
22. Miscellaneous
Entire agreement. These Terms, together with the Risk Disclosure and the terms shown at checkout or with an offer you accept, are the entire agreement between you and NexAlgo about the Service and replace any earlier agreement on the same subject, except as section 11 provides. If they conflict, the terms shown at checkout or with an offer you accept (such as price, billing period or a discount) prevail, then these Terms, then the Risk Disclosure.
Severability. If any part of these Terms is found invalid or unenforceable, the rest stays in effect, and the affected part applies as far as the law allows.
No waiver. If we do not enforce a right, we do not give it up.
Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours, for example as part of a merger, acquisition or sale of assets, without reducing your rights as a consumer.
Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including natural events, war, terrorism, civil unrest, government action, labor disputes, power or internet failures, cyberattacks, and outages, changes or decisions of third-party platforms such as OpenMarket, Discord, Stripe or our hosting providers.
Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. No third party has rights under these Terms.
Language. These Terms are written in English. If we provide a translation, the English version prevails, except where the law of your country requires otherwise.
Headings. Headings are for convenience only and do not affect the meaning of these Terms.
